Client Service Agreement

This general agreement explains how ProperSite projects work. Every accepted project also receives a proposal with its exact scope, price, and schedule.

Effective August 24, 2026

1. Scope and approval

The proposal lists the pages, features, deliverables, included revisions, price, payment milestones, and estimated schedule. Only that written scope is included. Email or electronic approval is accepted.

2. Payments and schedule

Small projects may require full payment before work starts. Larger projects may use a deposit and final payment. The exact schedule appears in the proposal. Timelines begin after required payment, information, files, and account access are received.

3. Revisions and extra work

The One-Page Website includes one revision round. Other listed website packages include two. A revision round is one organized list of changes to the approved scope. New pages, new features, repeated redesigns, or requests outside scope require a written price and approval before work begins.

4. Customer responsibilities

The customer must provide accurate information, timely feedback, legal content, and materials they have permission to use. The customer reviews spelling, prices, claims, policies, licensing, accessibility needs, and legal accuracy before approval.

5. Ownership

After full payment, the customer owns the final website-specific text, approved design, and customer-provided materials, subject to third-party licenses. ProperSite keeps ownership of reusable templates, methods, tools, code components, workflows, and know-how. The customer receives the right to use those reusable parts within the finished website.

6. Domain, accounts, and outside services

Customer domains and key business accounts should be registered in the customer’s name whenever possible. Booking, payment, email, hosting, plugins, maps, and other third-party services follow their own terms and fees. ProperSite does not control provider outages, price changes, suspensions, or policy decisions.

7. Launch and acceptance

The customer reviews the private preview and provides one organized response per revision round. Approval to publish, use, or launch means the work is accepted, except for a clear error that does not match the approved scope.

8. Care plans and cancellation

Monthly care is optional and separate from the website purchase. Renewal is manual unless the customer expressly chooses automatic renewal. Either side may end future care according to the written plan. Project cancellations follow the Refund & Cancellation Policy.

9. Honest limitations

ProperSite will perform services with reasonable care but does not promise specific rankings, sales, leads, revenue, platform approval, uninterrupted service, or complete legal, accessibility, medical, tax, or regulatory compliance. Specialized compliance work must be separately agreed in writing.

10. Liability and disputes

To the extent allowed by law, ProperSite is not responsible for indirect or consequential losses or failures caused by third parties, customer content, unauthorized changes, or events outside reasonable control. ProperSite’s total liability for a project will not exceed the amount the customer paid ProperSite for that project. The parties will first try in good faith to resolve a dispute in writing. Ohio law applies unless the proposal says otherwise.
